Terms of Service

These Terms govern your use of Otter Chat, a local-first chat spaces workspace and AI assistance product. By using Otter Chat, creating an Otter Chat AI account, or subscribing to a paid plan, you agree to these Terms.
1. Eligibility
You must be at least 13 years old, or the greater age required to use any connected service in your country or territory. If you use Otter Chat on behalf of an organization, you represent that you have authority to bind that organization to these Terms. You are responsible for complying with laws and third-party terms that apply to your use.
2. What Otter Chat Is
Otter Chat is a personal workspace for reviewing, searching, organizing, analyzing, and drafting from chat spaces that you are authorized to access. It is a rendering, organization, and AI assistance layer for user-controlled chat data, not a hosted messaging network.
Otter Chat is not a bulk sender, campaign tool, hidden bot, automated reply system, or customer messaging platform. Businesses that need scaled messaging, templates, bots, agent teams, or official business messaging features should use official business messaging products from the relevant platform.
3. Your Data and Permissions
You are responsible for ensuring that you have the right to connect, view, store, analyze, and use the chat data you bring into Otter Chat. You must not use Otter Chat to access another person's account, device, messages, media, or contacts without authorization.
Our Privacy Policy explains how Otter Chat processes information. By using Otter Chat, you also agree to the Privacy Policy.
4. Acceptable Use
You must not use Otter Chat to:
- violate laws, privacy rights, intellectual property rights, platform terms, or the rights of others;
- send spam, bulk messages, automated messages, harassment, fraud, phishing, malware, or illegal content;
- operate hidden bots, campaign senders, account farms, credential-sharing systems, or tools that bypass platform limits;
- scrape public users, create accounts, rotate accounts, impersonate others, or collect data without authorization;
- reverse engineer, attack, overload, interfere with, or bypass security controls of Otter Chat or third-party services;
- use Otter Chat for emergency, medical, legal, financial, safety-critical, or high-risk decisions without independent professional review.
5. User-Operated Sending
Otter Chat may help you draft, copy, insert, or organize messages. Sending remains a visible, user-operated action from the composer. You are responsible for every message, attachment, or other content you choose to send.
6. AI and Voice Features
Otter Chat AI can summarize, analyze, rephrase, suggest replies, maintain tables, run user-configured routines, and transcribe voice input. AI and transcription outputs can be wrong, incomplete, outdated, delayed, offensive, or unsuitable for your purpose. You must review outputs before relying on them, sharing them, inserting them into a composer, or sending them.
AI output is not professional advice. Otter Chat does not guarantee any specific AI provider, model, latency, availability, accuracy, or output format. AI requests may fail, time out, be truncated, be blocked by usage limits, be blocked because a prompt is too large, or be unavailable due to service issues.
7. Accounts, Trial, and Usage Limits
Otter Chat AI requires sign-in. Free trial usage is a one-time starter allowance for an account, not a recurring monthly plan. Paid plans include usage limits and may be enforced before a request is sent. If your usage limit is reached, if the estimated request would exceed your remaining limit, or if the prompt is too large for your plan, Otter Chat may block the request.
Usage displays are estimates for user-facing quota management. Internal cost, pricing, allowance, and provider accounting details are not part of your account balance and may not be displayed.
8. Paid Plans and Payment Processing
Paid plans are subscription plans billed through our payment processor unless otherwise stated. Prices are shown before checkout and may exclude taxes, duties, bank fees, currency conversion charges, and payment processor charges. You authorize the payment processor to charge your selected payment method for subscription fees, plan changes, taxes, and other amounts shown at checkout.
Payment processing is handled by third-party payment processors. We do not store full payment card numbers in Otter Chat.
9. Upgrades, Downgrades, and Cancellations
Upgrades. When you upgrade from one paid plan to a higher paid plan, the new plan starts immediately after successful payment. A new full billing period begins at the upgrade time. The payment processor applies a time-based prorated credit for unused time on your current plan and attempts to charge the upgrade invoice immediately. If payment fails, requires additional action, or remains pending, the current plan remains in place until the payment processor applies the update.
Downgrades. When you change to a lower paid plan, the lower plan is scheduled for the next billing period unless we state otherwise. Your current plan and current quota remain active until the end of the current billing period.
Cancellation. Self-serve cancellation turns off auto-renewal. Your paid plan remains active until the end of the current billing period, and cancellation does not automatically create a refund. You can resume auto-renewal before the period ends if the feature is available.
Plan changes may be limited to the platform or payment provider where you subscribed. Clearing local data, uninstalling Otter Chat, disconnecting a chat connector, or signing out of Otter Chat AI does not automatically cancel a paid subscription.
10. Refunds
Except where required by law or expressly offered by us, fees are non-refundable. We may offer service-incident refund claims when a qualifying Otter Chat-side service issue affects paid access. If a service-incident refund is available, the quote may consider the amount paid, payment processor fees, service time used, AI usage consumed, prior refunds, open disputes, and remaining refundable balance. Claiming a refund may end or restrict the related paid entitlement.
Refund availability, timing, and method may depend on the payment processor, your payment method, fraud checks, disputes, taxes, and applicable law.
11. Third-Party Services
Otter Chat depends on third-party services, including supported chat connectors, cloud hosting, authentication, database, payment, browser, operating system, device, network, and AI service providers. These services may change, fail, limit access, enforce their own terms, or stop supporting features. We are not responsible for third-party services that we do not control.
Connected chat services may change their clients, terms, enforcement, APIs, protocols, or linked-device behavior. Otter Chat may disable, limit, or change features to reduce risk, comply with law, protect users, or respond to third-party changes.
12. Supported Connectors
Otter Chat is designed as a chat spaces workspace and AI assistance layer. Current connector support includes WhatsApp. WhatsApp is a third-party service and is not affiliated with, endorsed by, or sponsored by Otter Chat.
13. Ownership and License
You retain your rights in the content and data you bring into Otter Chat. You grant us a limited license to process that content and data as needed to provide, secure, maintain, improve, and support Otter Chat and to comply with law. Otter Chat, including its software, design, trademarks, and service materials, belongs to us or our licensors.
14. Service Changes and Termination
We may change, suspend, limit, or discontinue Otter Chat or any feature at any time. We may suspend or terminate your access if you violate these Terms, create risk, fail to pay, misuse the service, or if required by law or third-party service constraints. You may stop using Otter Chat at any time, but stopping use does not automatically cancel a paid subscription.
15. Disclaimers
Otter Chat is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, security, and error-free operation.
16. Limitation of Liability
To the maximum extent permitted by law, we and our affiliates, officers, employees, contractors, suppliers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, lost goodwill, service interruption, device failure, third-party platform changes, AI output errors, or unauthorized access not caused by our willful misconduct.
To the maximum extent permitted by law, our total liability for any claim relating to Otter Chat is limited to the greater of the amount you paid to us for Otter Chat in the three months before the event giving rise to the claim or USD 100.
17. Indemnity
You will indemnify and hold harmless us and our affiliates, officers, employees, contractors, suppliers, and licensors from claims, losses, liabilities, damages, costs, and expenses, including reasonable legal fees, arising from your misuse of Otter Chat, your content or data, your violation of these Terms, or your violation of law or third-party rights.
18. Governing Law
These Terms are governed by the laws of Singapore, without regard to conflict-of-law rules. The courts of Singapore will have exclusive jurisdiction over disputes relating to these Terms or Otter Chat, except where applicable law requires otherwise.
19. Changes to These Terms
We may update these Terms from time to time. If changes are material, we will provide notice in a reasonable way. Your continued use of Otter Chat after changes become effective means you accept the updated Terms.
